Terms of sale

These Terms of Sale govern all purchases made on the Xnovate online store. By placing an order, the customer acknowledges having read, understood, and accepted these terms in full, as well as the other legal policies (Privacy Policy, Refund Policy, Shipping Policy).

1. Nature of Products and Availability

Products offered by Xnovate are described with the highest possible level of accuracy.
Features, visuals, or technical information may evolve or be adjusted based on product improvements.

The availability indicated at the time of purchase is provided for informational purposes only.
A product may be:

– in stock,
– being restocked,
– or temporarily unavailable.

In the event of exceptional unavailability after an order is placed, the customer will be contacted promptly to propose:
– a replacement,
– an additional delay,
– or a full refund.

2. Prices and Billing

Prices displayed on the store are expressed in euros (€).
As a micro-entreprise (French sole-proprietorship simplified tax regime), Xnovate applies the VAT exemption scheme (Article 293 B of the French General Tax Code – CGI), which means:

➡️ Displayed prices are net, excluding VAT.

Prices may be changed at any time.
The amount charged is the one displayed at the time of the order and confirmed in the order confirmation email.

Unless otherwise stated, prices do not include:

– shipping costs,
– any fees related to the chosen delivery method,
– or any fees imposed by the destination country (for orders outside France).

The customer agrees to provide accurate and up-to-date billing information.
Any attempted fraud or false information may result in the cancellation of the order.

3. Placing an Order

An order becomes final only after:

– payment has been validated,
– automatic confirmation has been sent to the email address provided by the customer.

Before confirming, the customer must carefully check:
– the delivery address,
– the contents of the cart,
– contact information,
– the selected delivery method.

Xnovate reserves the right to refuse or cancel an order in the event of:

– suspected fraud,
– a payment issue,
– incomplete or inconsistent information,
– product unavailability.

All orders are intended for personal use.
Purchasing for resale is not permitted.

4. Payment

Payments are processed by Shopify Payments or any other secure provider offered on the store.

Xnovate never stores banking information.

Generally accepted (subject to availability):
– credit/debit cards,
– Apple Pay / Google Pay,
– installment payments (e.g., Alma),
– other solutions compatible with Shopify.

Xnovate may add or remove certain payment methods at any time.

If the bank or payment provider declines the payment, the order is automatically cancelled or suspended.

5. Delivery

Delivery is carried out according to the terms described in the Shipping Policy.

The customer must provide a valid and complete address.
Any error resulting in a return or inability to deliver may result in additional costs charged to the customer.

Risk transfers at the time the product is physically taken into possession by the customer or by a third party designated by the customer, other than the carrier, in accordance with Article L216-4 of the French Consumer Code. In the event of loss or damage to the parcel during transport, the customer must contact Xnovate, which will take the necessary steps with the carrier.

6. Inspecting the Parcel Upon Receipt

The customer must check the condition of the parcel upon receipt.
In the event of visible damage, it is recommended to:

– refuse the parcel,
– notify Xnovate immediately,
– provide evidence (photos/videos/description).

A parcel accepted without reservation may limit the assistance available.

7. Right of Withdrawal

Xnovate applies the legal 14-day right of withdrawal, in accordance with the conditions detailed in the Refund Policy.

Certain products may be excluded from the right of withdrawal (e.g., personalized products).

8. Legal Warranties

Products benefit from French legal warranties:

– Legal warranty of conformity (Articles L217-3 to L217-20 of the French Consumer Code). The legal warranty of conformity applies for a period of two years from delivery of the goods. During the first 24 months following delivery, the consumer is not required to prove that the defect existed at the time of receipt; the burden of proof lies with the seller.
– Warranty against hidden defects (Articles 1641 to 1649 of the French Civil Code).

In the event of a confirmed defect, Xnovate may offer:
– a repair,
– a replacement,
– or a refund, depending on the situation.

Evidence may be requested (photos, videos, detailed description).

9. Limitation of Liability

Xnovate is not liable for damages resulting from:

– improper use of the product,
– unauthorized modification,
– incorrect installation,
– negligence on the part of the customer,
– a delay caused by the carrier or an event beyond Xnovate's control.

Xnovate's liability shall not exceed the total amount paid for the order in question.

10. Personal Data

The processing of personal data is described in the Privacy Policy.
By using the store, the customer accepts the terms of collection and use of their data.

11. Changes to the Terms of Sale

Xnovate may update these Terms of Sale at any time, without notice, in order to:

– incorporate legal changes,
– adjust the terms of sale,
– improve the operation of the store.

The version in effect is the one displayed at the time of the order.
